Terms and Conditions

1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of Regent AI Security Inc.’s (“Regent,” “we,” “our,” or “us”) platform, including Regent Arc, Regent Atlas, and any related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Services
Regent provides AI security, governance, and monitoring solutions designed to help organizations manage, secure, and control the use of artificial intelligence systems.
Services may include, but are not limited to:
- AI usage monitoring and control
- Data loss prevention (DLP) for AI interactions
- Policy enforcement and governance
- Risk analysis and reporting
- Managed security services (Atlas)
We reserve the right to modify, update, or discontinue any part of the Services at any time.
3. Account Registration and Responsibilities
To access certain features, you must create an account.
You agree to:
- Provide accurate and complete information
- Maintain the security of your credentials
- Be responsible for all activity under your account
You must notify us immediately of any unauthorized access or use.
4. Acceptable Use Policy
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent activities
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to systems or data
- Reverse engineer, copy, or exploit the platform
- Use the Services to store or transmit malicious code
We reserve the right to suspend or terminate accounts that violate these rules.
5. Customer Data
-Ownership
You retain all rights to data you submit or process through the Services (“Customer Data”).
-License
You grant Regent a limited, non-exclusive license to process Customer Data solely to provide and improve the Services.
-Responsibility
You are responsible for:
- Ensuring you have rights to use the data
- Compliance with applicable laws and regulations
- Configuring the platform appropriately for your use case
6. Data Security and Privacy
Regent implements reasonable administrative, technical, and organizational safeguards to protect Customer Data.
However, no system is completely secure. You acknowledge that:
- You use the Services at your own risk
- Regent does not guarantee absolute security
Use of the Services is also governed by our Privacy Policy.
7. Fees and Payment
If you subscribe to a paid plan:
- You agree to pay all applicable fees
- Fees are billed in advance and are non-refundable unless stated otherwise
- Pricing may vary based on plan (Essentials, Pro, Enterprise, Atlas tiers)
Failure to pay may result in suspension or termination of Services.
8. Intellectual Property
All rights, title, and interest in the Services (excluding Customer Data) are owned by Regent.
You may not:
- Copy, modify, or create derivative works
- Resell or sublicense the platform without authorization
“Regent,” “Regent Arc,” and “Regent Atlas” are proprietary trademarks.
9. Confidentiality
Each party agrees to protect confidential information of the other party and use it only for purposes related to the Services.
Confidential information does not include information that:
- Is publicly available
- Was already known
- Is independently developed
10. Service Availability
We aim to provide reliable access but do not guarantee:
- Uninterrupted or error-free operation
- Immediate resolution of issues
Maintenance, updates, or outages may occur.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGENT DISCLAIMS:
- ALL WARRANTIES, EXPRESS OR IMPLIED
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
Regent does not guarantee that:
- The Services will prevent all security incidents
- All risks or threats will be detected or mitigated
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
REGENT SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
TOTAL LIABILITY SHALL NOT EXCEED:
- THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
13. Indemnification
You agree to indemnify and hold harmless Regent from any claims arising from:
- Your use of the Services
- Your violation of these Terms
- Your Customer Data
14. Termination
We may suspend or terminate access:
- For violation of these Terms
- For non-payment
- If required by law
You may terminate your account at any time.
Upon termination:
- Your access will be revoked
- Data may be deleted after a reasonable period
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
16. Changes to Terms
We may update these Terms from time to time.
If we make material changes:
- We will provide notice (e.g., via email or platform notification)
Continued use of the Services constitutes acceptance of the updated Terms.

18. Enterprise Agreements
If you have executed a separate written agreement with Regent, that agreement will govern in the event of any conflict with these Terms.

20. Compliance and Export Controls
You agree to comply with all applicable laws, including:
- Data protection laws
- Export control and sanctions regulations
You may not use the Services in restricted jurisdictions or for prohibited purposes.
By using Regent, you acknowledge that you have read, understood, and agree to these Terms.
